Terms of service
Terms for using our websites, apps and services
Last updated 4 November 2026
These terms apply when you use any website, app or hosted service provided by Advancer Limited. Please read them with our privacy policy, which explains how we handle personal information.
1. About these terms
These terms are an agreement between you and Advancer Limited ("Advancer", "we", "us"), a company registered in New Zealand. They cover our website at advancer.co.nz, the Advancer Associate App, document signing, the business brains we host, the client apps we run and our mobile apps (together, the "services"), where a service does not have terms of its own.
By using a service, you agree to these terms. If you use a service for an organisation, you agree to them for that organisation and confirm you have authority to do so. If you do not agree, please do not use the service.
2. How these terms fit with other agreements
- Paid work. Our consulting, delivery and hosting work for clients is governed by the proposal, statement of work or engagement agreement signed for it. If that agreement and these terms conflict, the signed agreement wins.
- Associates. Your relationship with us as an associate is governed by your associate agreement. These terms cover only your use of the Associate App, and your associate agreement wins on any conflict.
- Products with their own terms. Some Advancer products, such as Askance, have their own terms, and those apply instead of these.
- Client apps. When we run an app for a client, the client's own terms with its users apply where it has them. These terms apply between you and us.
3. Accounts and access
Some services need an account. Accounts for the Associate App and hosted services are by invitation, and each one is for one person. You must keep your sign-in details secure, must not share your account, and must tell us straight away at hello@advancer.co.nz if you think someone else has used it. You are responsible for what happens under your account unless it happens because of our failure.
Your access depends on your role. If your role or engagement ends, we will remove or reduce your access.
4. Acceptable use
When you use our services, you must not:
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- upload anything harmful, such as malware, or anything defamatory, objectionable or misleading;
- try to get into any part of a service, account or data you are not authorised to use, or get around a security control;
- test the security of a service without our written permission, or interfere with or put unreasonable load on a service;
- copy, scrape or resell a service or its content, or reverse engineer it except where the law allows you to; or
- use a service to send spam or to collect other people's personal information without their permission.
5. Your content
You keep ownership of the content you put into our services, such as documents, timesheets, receipts, profile details and knowledge in a business brain. You give us a non-exclusive licence to store, copy, process and display that content only as needed to provide the services to you and the people you share it with, and to keep the records the law requires.
You confirm you have the right to put the content into the service and to let us use it this way, including any personal information about other people. You are responsible for its accuracy.
6. Our content and intellectual property
We, or the people who license material to us, own the services and their content, including our software, website copy, methodology, learning material, templates and the UX interaction standard. We give you a personal, non-exclusive, non-transferable right to use them for their intended purpose while you are entitled to use the service.
Material in the Associate App is confidential to Advancer. Do not share it outside Advancer unless your associate agreement or a client engagement allows it. Ownership of work we deliver for clients is set by the client's engagement agreement.
You are welcome to send us feedback or ideas. We may use them without owing you anything.
7. Associates
If you use the Associate App as an associate:
- you must keep your profile, invoicing details, timesheets and expenses accurate and up to date, and submit only time and expenses you are entitled to claim;
- where we issue buyer-created tax invoices for your work, we do so under the arrangement you have agreed with us, and you must tell us straight away if your GST registration or other invoicing details change;
- a published profile is shown on our public website, so check it before you submit it for approval; and
- customer records and project information in the app belong to Advancer and its clients, and you may use them only for Advancer work.
8. Document signing
Our document signing service lets a sender invite people by email to sign a document electronically. New Zealand's Contract and Commercial Law Act 2017 recognises electronic signatures that meet its requirements, and many other countries have similar laws.
- If you send a document, you are responsible for its content, for having the right to send it to the people you invite and for deciding whether an electronic signature is suitable for it. Some documents, such as certain wills, powers of attorney, affidavits and documents that must be witnessed, may need a handwritten signature or a particular process. Get advice if you are unsure.
- If you sign a document, you agree that your electronic signature has the same effect as a handwritten one, and you confirm you are the person the invitation was sent to. You can decline instead of signing. If you want to sign on paper, contact the sender.
- Our role. We provide the signing tool and keep the audit trail. Unless we sent the document ourselves, we are not a party to it and do not give advice about it. Keep a copy of every completed document you need.
9. Hosted business brains and client apps
When we host a business brain or run an app for a client, the client's engagement agreement sets out the service, its service levels, where data is stored, support, and what happens to the content when the agreement ends. Unless that agreement says otherwise:
- the client is responsible for who it gives access to, for what its users put into the service and for having a lawful basis to use any personal information in it;
- we handle the client's content only on the client's instructions and to provide the service;
- answers produced by AI tools connected to a business brain depend on the brain's content and the AI tool used, and may be incomplete or wrong, so check important answers before you rely on them; and
- the client can ask for an export of its content at any time, and we return or delete it when the service ends.
10. Mobile apps
If you download one of our mobile apps from the Apple App Store or Google Play, the app store's terms also apply. Those terms are between you and the app store. We, not Apple or Google, are responsible for the app and for supporting it. Keep your device and the app up to date; older versions may stop working.
11. Fees
Our public website and document signing for invited signers are free. Paid services are charged as set out in the client's proposal or engagement agreement. Unless stated otherwise, prices are in New Zealand dollars and exclude GST, which we add where it applies.
12. Third-party services
Our services connect to other providers, such as Microsoft for sign-in and hosting and Xero for accounting. Their terms govern their own services, and we are not responsible for them. Links to other websites are for convenience; we do not control those sites.
13. Availability and changes
We work to keep our services available and secure, but we cannot promise that they will always be available, free of errors or suitable for every purpose. We may need to take a service offline for maintenance, and we try to do that outside New Zealand business hours. We may change, add or remove features. If we stop a paid service, the client's engagement agreement sets out the notice we give.
Information on our website, including articles and the assessment, is general information, not advice for your situation.
14. Consumer law
Nothing in these terms takes away rights you have under a law that cannot be excluded, such as the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, the Australian Consumer Law or the consumer laws of the country you live in.
Our services are designed for business use. If you use or acquire a service for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply, and that, to the extent allowed by law, sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, and that it is fair and reasonable for both of us to be bound by this clause.
15. Limits on our liability
To the extent allowed by law:
- we are not liable for any loss of profit, revenue, data, savings or goodwill, or for any indirect or consequential loss, however it arises;
- our total liability to you for all claims about a service in any 12-month period, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid us for that service in the 12 months before the event that caused the claim, or NZ$100 if the service was free; and
- if you use a service for business, you are responsible for loss we suffer because you breach these terms or because content you put into a service infringes someone else's rights.
These limits do not apply to liability for fraud or wilful misconduct, or to anything the law does not allow us to limit. A client's engagement agreement may set different limits for the work it covers.
16. Suspension and ending
You can stop using a service at any time. We may suspend or end your access if you breach these terms, if your role or engagement ends, if your use puts the service, other users or us at risk, or if the law requires it. Where it is reasonable, we will tell you first and give you a chance to put things right. Sections 5, 6, 14, 15, 17 and 18 keep applying after your access ends.
17. Governing law and disputes
These terms are governed by New Zealand law, and the courts of New Zealand have jurisdiction. If you are a consumer living in another country, you keep any right to bring proceedings in your own courts and to rely on the mandatory laws of that country.
If you have a concern, please contact us first. We will try in good faith to resolve it with you before either of us starts formal proceedings, except where urgent relief is needed.
18. General
- Changes to these terms. We may update these terms. We will change the date at the top of the page, and if a change is material, we will tell associates and clients directly before it takes effect. If you keep using a service after a change takes effect, the new terms apply.
- Events outside our control. We are not responsible for a delay or failure caused by something outside our reasonable control, such as a failure of a hosting provider, the internet or the power supply, or a natural disaster.
- Transfer. You may not transfer your rights under these terms. We may transfer ours to a buyer of all or part of our business, who must keep to these terms.
- The rest stays in force. If a court finds part of these terms unenforceable, the rest still applies. If we do not enforce a term straight away, we can still enforce it later.
- Notices. We may send notices to the email address on your account. Send notices to us at hello@advancer.co.nz.
